These General Terms and Conditions (the “Terms and Conditions”) govern the Service Agreement (the “Agreement”) entered into by and between KC Agency LLC, a Texas Limited Liability Company, together with its affiliated entities (collectively, “ClimateIQ” or the “Company”), and the individual or entity named as the “Client” in the Agreement. These Terms and Conditions are incorporated into and made a part of the Agreement. By executing the Agreement and/or accepting services from ClimateIQ, the Client agrees to be bound by these Terms and Conditions.
1.1 Affiliate: Any entity that controls, is controlled by, or is under common control with ClimateIQ or the Client.
1.2 Confidential Information: Non-public information disclosed by one party to the other, including but not limited to trade secrets, methodologies, financial data, business plans, customer lists, and proprietary materials.
1.3 Intellectual Property (IP): All techniques, methodologies, processes, tools, software, logos, trademarks, training materials, and other proprietary content owned or licensed by ClimateIQ, including any modifications or derivative works.
1.4 Services: The AI-powered phone answering, automated customer outreach, revenue-recovery analysis, reporting, and related software services and deliverables provided by ClimateIQ under the Agreement.
1.5 Client Obligations: Actions and responsibilities the Client agrees to fulfill as outlined in the Agreement and these Terms and Conditions.
1.6 Programs: The proprietary software platform, automation tools, analyses, reports, and related services developed and delivered by ClimateIQ.
1.7 Applicable Laws: All federal, state, and local laws, rules, and regulations applicable to this Agreement, including United States federal laws, consumer protection laws, and telemarketing and text-messaging regulations (including the TCPA and CAN-SPAM Act).
1.8 Personal Information: Any data provided by the Client that is protected under applicable privacy laws, including personally identifiable information (PII).
2.1 Description of Services: ClimateIQ agrees to provide the software and outreach services outlined in the Agreement, including but not limited to: analysis of the Client’s customer list to identify revenue opportunities (such as dormant customers, uncollected invoices, and missed calls); AI-assisted phone answering and drafted outreach communications; access to the ClimateIQ platform, tools, and support resources; and periodic performance and ROI reporting.
2.2 Limitations of Services: ClimateIQ does not guarantee specific results, revenue recovery amounts, response rates, or timelines. Results depend on numerous factors including but not limited to the Client’s customer data quality, market conditions, follow-through on recommendations, and the actions of third parties.
2.3 Right to Modify Services: ClimateIQ reserves the right to update, modify, or discontinue any aspect of the Services without prior notice to the Client, provided such changes do not materially diminish the Client’s rights under the Agreement.
2.4 Third-Party Involvement: ClimateIQ may collaborate with third-party service providers, telecommunications carriers, or software platforms to deliver certain aspects of the Services. The Client acknowledges and agrees that ClimateIQ is not responsible for the actions, approvals, or omissions of such third parties.
2.5 Nature of Services: All services, materials, and information provided by ClimateIQ are business tools provided for operational and informational purposes only. ClimateIQ does not act as a lender, credit bureau, financial institution, investment advisor, or legal advisor, and nothing in the Services constitutes legal, financial, or tax advice.
2.6 Client Compliance: Where the Services facilitate communications with the Client’s own customers, the Client is solely responsible for ensuring it has all consents required by Applicable Laws (including the TCPA) to contact those customers.
3.1 Program Fee: The Client agrees to pay the total program fee outlined in the Agreement. All fees are non-refundable except as explicitly stated in Section 4.
3.2 Payment Methods: Payments must be made via the payment methods specified in the Agreement or checkout page, which may include credit card, debit card, payment processors, or financing providers.
3.3 Costs of Collection: The Client agrees to reimburse ClimateIQ for all costs incurred in collecting overdue amounts, including attorney fees, court costs, and collection agency fees.
4.1 Eligibility for Refunds: Refunds may be granted only if the Client:
4.2 Review Process: Refund requests must be submitted in writing and will be reviewed within seven (7) business days. If approved, refunds will be processed within seven (7) business days thereafter.
4.3 Exclusions: The Client is not eligible for a refund if they: fail to follow program instructions or requirements; do not complete assigned steps or documentation; or dispute charges directly with their bank, payment processor, or financial institution before contacting ClimateIQ.
In addition to any right to otherwise revoke an offer, you, the purchaser, may cancel this sale up to midnight of the third business day after the receipt of the merchandise or premium, whichever is later.
You will not have any cancellation rights beyond the 3-day right of rescission, and all sales are considered final thereafter.

The Client agrees to notify ClimateIQ in writing of any service-related concerns or disputes before initiating any refund requests, payment disputes, or legal action. ClimateIQ will review and respond to such concerns within ten (10) business days.
The Client acknowledges that all training materials, guides, tools, templates, systems, strategies, software, and other deliverables provided by ClimateIQ are proprietary and confidential. The Client agrees not to share, reproduce, distribute, license, reverse engineer, sell, or republish any materials provided by ClimateIQ without prior written consent.
ClimateIQ reserves the right to update these Terms and Conditions at any time. Clients will be notified of significant changes where required by law. Continued use of services constitutes acceptance of updated terms.
A breach of this Agreement includes, but is not limited to: failure to comply with payment terms; misuse or unauthorized distribution of proprietary materials; violation of confidentiality provisions; or misrepresentation of business or personal information. Upon breach, ClimateIQ reserves the right to terminate services immediately. The Client remains responsible for any outstanding fees, and ClimateIQ may pursue all available legal remedies.
All intellectual property developed, delivered, or shared during the course of providing services remains the exclusive property of ClimateIQ. The Client agrees to execute any documents necessary to confirm or perfect ClimateIQ’s ownership rights if requested.
The provisions related to confidentiality, intellectual property, indemnification, limitation of liability, governing law, and dispute resolution shall survive termination of this Agreement.
12.1 Governing Law: This Agreement shall be governed by and interpreted in accordance with the laws of the State of Texas, United States.
12.2 Dispute Resolution: Any disputes arising under this Agreement shall first be attempted to be resolved through good-faith mediation. If mediation fails, the dispute shall be resolved through binding arbitration in the State of Texas.
13.1 Termination by ClimateIQ: ClimateIQ reserves the right to terminate the Agreement in cases of:
13.2 Effect of Termination: Upon termination, all rights granted to the Client under this Agreement shall cease. Any outstanding fees or obligations remain due and enforceable.
14.1 Amendments: These Terms and Conditions may only be modified by a written agreement signed by both parties.
14.2 Notices: All notices required under this Agreement must be sent to: noahs@myclimateiqus.com.
14.3 Entire Agreement: These Terms and Conditions, together with the Agreement, constitute the entire understanding between the parties and supersede all prior agreements, discussions, or understandings.

You may opt out of receiving further SMS messages at any time. To stop receiving messages, simply reply STOP to any text message you receive from us. You will receive a one-time opt-out confirmation message. Following your opt-out, you will no longer receive SMS messages from us unless you re-opt in.
